PHASE B — DOCUMENT 4: TERMS OF SERVICE (parent/account holder agreement)

Status: draft for review. The contracting party is the adult parent or legal guardian. A child is never a party to these Terms and is never asked to accept them.

A. ENGLISH MASTER

1. Who this agreement is with

These Terms are between you — the parent or legal guardian who creates the account — and NOXON, LLC, a Texas limited liability company (Texas, United States) [COUNSEL REVIEW REQUIRED — PRIVACY CONTROLLER / RESPONSIBLE ENTITY ADDRESS] ("KidChat", "we"). By creating an account you confirm you are an adult with legal authority over each child you add.

2. What KidChat is, and what it is not

KidChat is a subscription service that gives children aged 6–12 an AI assistant designed for their age, plus parent controls. KidChat uses AI and can be wrong. (C-20)

KidChat is not a teacher, tutor, school, doctor, therapist, counselor, crisis service, or child-protection service, and it gives no professional advice. It does not monitor conversations in real time and it cannot call emergency services or contact anyone outside KidChat on your child's behalf. (C-15) Where a conversation suggests risk, KidChat responds with age-appropriate guidance and resources from a maintained directory, and the most serious events go to human review by a named person at KidChat. 3. Accounts, children, and eligibility

• Only an adult may open an account. Children cannot register themselves. (C-01)
• Child profiles are for ages 6–12; a birthdate outside that range is rejected. (C-02)
• Up to 3 child profiles per family account for V1.
• Verifiable parental consent is required before any child data is collected. (C-03)
• You are responsible for the security of your account credentials and your Parent PIN, and for supervising your child's use in line with your own judgment.
• KidChat is offered in Mexico during Closed Alpha, later the United States. It is not offered to children in the UK or EU. (C-19)

4. Parent visibility

You can read your child's full conversation history in Parent Mode, protected by your PIN. Your child is told this permanently and in words they understand. (C-11, C-12) Do not use KidChat if you are unwilling for this to be the arrangement.

5. Acceptable use

You and your household agree not to: use KidChat to harm, harass, or endanger anyone; attempt to bypass age limits, PIN protection, safety systems, or screen-time rules; scrape, reverse engineer, or resell the service; upload malware; or let an adult use a child profile to obtain answers the adult surface would not give. The full list is the Acceptable Use Policy (document 10), which forms part of these Terms.

6. Subscription, billing, and cancellation

V1 is a family subscription bought and controlled by the adult account holder. There is no advertising, no sale of data, no marketplace, and no purchase of any kind inside Kid Mode. During Closed Alpha, billing may not be active; if and when it is, price, renewal, and cancellation terms are shown before you pay, you may cancel at any time effective at the end of the paid period, and statutory withdrawal/refund rights in your jurisdiction are unaffected. 7. Your content and your child's content

You and your child keep whatever rights you have in what you type. You grant KidChat only the limited licence needed to run the service described in the Privacy Policy: generating answers, producing recaps for you, operating safety systems, and storing history for its retention period. We do not use it for advertising and we do not sell it. (C-09) Retention and deletion are governed by the Privacy Policy — conversations are kept 30 days by default. (C-04, C-05)

8. Availability, changes, and Alpha status

KidChat is offered as-is during Closed Alpha, may change, and may be unavailable. We give notice of material changes to these Terms; a material change affecting children's data also requires renewed parental consent.

9. Suspension and termination

We may suspend or end an account for a serious breach of these Terms or the Acceptable Use Policy, or where continued use presents a safety risk. You may close your account at any time; closure starts deletion of your children's data as described in the Privacy Policy.

10. Disclaimers and liability

To the extent permitted by law, KidChat is provided without warranties of accuracy, fitness for a particular purpose, or uninterrupted availability, and our liability is limited. Nothing in these Terms limits liability that cannot lawfully be limited, including liability for death or personal injury caused by negligence, fraud, and mandatory consumer, privacy, and children's rights under Mexican or U.S. law. 11. Governing law and disputes

No provision may waive mandatory children's, privacy, or consumer rights. Any arbitration or class-action provision, if used at all, requires local counsel review before publication.

B. ADAPTACIÓN AL ESPAÑOL (MÉXICO) — TÉRMINOS Y CONDICIONES

Mismo contenido, con las siguientes precisiones operativas para México:

• El contrato se celebra con la madre, el padre o quien ejerza la patria potestad o tutela; ninguna niña o niño es parte de este contrato.
• KidChat usa inteligencia artificial y puede equivocarse. No es maestro, tutor, médico, terapeuta, consejero ni servicio de emergencia, y no puede llamar a servicios de emergencia ni contactar a nadie fuera de KidChat.
• Perfiles infantiles de 6 a 12 años, máximo 3 por cuenta; la creación la realiza siempre la persona adulta.
• Usted puede leer el historial completo de su hija o hijo en el Modo Padres, protegido con NIP; su hija o hijo lo sabe de forma permanente.
• Sin publicidad, sin venta de datos, sin compras dentro del Modo Niño.
• Nada en estos Términos limita los derechos irrenunciables de consumidores ni los derechos ARCO ni los derechos de la niñez conforme a la legislación mexicana. Las cláusulas abusivas se tendrán por no puestas.
• Quejas de consumo: PROFECO. Materia de datos personales: INAI.
